1. Legal Entity & Acceptance

 

These Terms & Conditions (“Terms”) govern your access to and use of www.mtech.shop (the “Site”) and any related services (the “Services”). The Site is operated by 9422-5117 Québec inc., doing business as “M-Tech” (“M-Tech”, “we”, “us”, “our”). By accessing or using the Site, creating an account, or purchasing from M-Tech, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site.

 

2. B2B Only / Eligibility (18+)

M-Tech is a business-to-business (B2B) wholesale supplier. The Site and Services are intended for professional customers only. By using the Site, you represent that you are acting for a business entity or as a self-employed professional, you are at least 18 years old, and you have authority to bind the business you represent. We may refuse, suspend, or terminate access if we reasonably believe these conditions are not met.

 

3. Account Registration & Security

Some features require an account. You agree to provide accurate and complete information, keep it up to date, and safeguard your credentials. You are responsible for all activity under your account. We may request business verification (e.g., registration/tax documents).

 

4. Orders, Acceptance & Availability

All orders are subject to acceptance by M-Tech. Inventory availability is not guaranteed until confirmed and shipped. We may limit quantities, refuse, or cancel orders in reasonable circumstances (e.g., suspected fraud, pricing errors, compliance concerns).

 

5. Pricing, Currency (CAD/USD) & Errors

Prices may be displayed in CAD and/or USD. Where currency conversion is shown, it may be indicative. We may correct errors in pricing, descriptions, or availability at any time. If an error affects your order, we may contact you or cancel the order and issue the appropriate credit/refund according to the payment method used.

 

6. Taxes & Exemptions

You are responsible for providing valid tax exemption documentation where applicable. If information is invalid or incomplete, we may charge applicable taxes, and you remain responsible for any required taxes, interest, or penalties under applicable rules.

 

7. Payments, Net Terms & Billing (including PayPal)

We may accept (as available and/or approved for your account): credit/debit card, PayPal, bank transfer/wire, approved net terms, and wallet/store credit. We may adjust payment options, revoke net terms, require prepayment, or place orders on hold based on risk and payment history. You authorize M-Tech and its payment processors to charge the payment method provided for authorized transactions, including applicable taxes and shipping. Chargebacks or payment disputes may result in account holds, loss of terms, or suspension until resolved.

 

8. Minimum Purchase / Account Activity (Balanced Clause)

M-Tech operates as a B2B wholesale supplier and may maintain internal criteria related to account activity and purchasing patterns. Accordingly, M-Tech may restrict, suspend, or close accounts that do not align with the intended B2B wholesale model (including prolonged inactivity or non-commercial usage patterns), in a reasonable manner and subject to applicable law.

 

9. Shipping, Delivery & Risk of Loss

Shipments are handled by third-party carriers. Delivery times are estimates and not guaranteed. Unless otherwise required by applicable law, risk of loss transfers to the customer when the shipment is handed to the carrier. You are responsible for providing accurate shipping details; additional costs due to address errors or rerouting may be charged to you.

 

10. Lost, Missing, or Delayed Shipments (Pro-client, protected)

If a package is delayed, missing, or suspected lost, M-Tech will assist in initiating a carrier investigation/claim where applicable. No replacement, refund, or credit is issued before the investigation is completed and responsibility is determined, except where required by applicable law. If loss is confirmed and responsibility is established (e.g., carrier-confirmed loss), M-Tech may provide a replacement, store credit, or refund depending on circumstances, stock availability, and verification.

 

11. Damaged Items on Arrival

You must inspect shipments upon delivery. If items appear damaged, notify M-Tech promptly within the timeframe stated in the Returns/Warranty Policy and provide clear photos/videos of the item, packaging, and shipping label. Keep all original packaging until the claim is resolved. Subject to inspection and validation, M-Tech may offer replacement, repair, store credit, or other remedy as appropriate.

 

12. Returns, RMAs & Warranty (Incorporation by reference)

All returns and warranty claims are governed by M-Tech’s Returns / Warranty Policy and RMA procedures, incorporated by reference into these Terms. Returns apply only to products purchased directly from M-Tech and are subject to inspection and validation.

 

13. Professional Use / Compliance

Products are intended for professional use. You are responsible for safe handling, installation, and compliance with laws and industry standards. M-Tech is not responsible for damage caused by improper installation, misuse, or handling.

 

14. Third-Party Links & Services

The Site may contain links to third-party websites or tools. We do not control and are not responsible for third-party content, terms, or privacy practices.

 

15. Intellectual Property Rights

All Site content (including text, images, design, logos, and software) is owned by M-Tech or its licensors and protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or exploit Site content without prior written permission.

 

16. Trademarks / Compatibility References

“M-Tech” and related marks are trademarks of 9422-5117 Québec inc. Third-party trademarks are the property of their respective owners and are used solely for compatibility identification or descriptive purposes.

 

17. Privacy & Cookies Policy

Your use of the Site is governed by our Privacy Policy and Cookies information published on the Site, incorporated by reference.

 

18. Disclaimer of Warranties

The Site and Services are provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law, M-Tech disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

 

19. Limitation of Liability

To the maximum extent permitted by law, M-Tech shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, or data. Where liability cannot be excluded, M-Tech’s total liability for any claim relating to an order shall not exceed the amount paid for the specific products giving rise to the claim.

 

20. Indemnification

You agree to indemnify and hold harmless M-Tech from claims arising from your breach of these Terms, misuse/installation errors, violation of law, or infringement of third-party rights.

 

21. Prohibited Use / Unlawful Activity

You agree not to use the Site for unlawful purposes, fraud, or activities that compromise Site security. We may investigate and cooperate with authorities where required.

 

22. Electronic Communications

You consent to receive communications from M-Tech electronically (email, dashboard notices, or Site postings) and agree that such communications satisfy legal notice requirements where permitted by law.

 

23. Changes to Terms

We may update these Terms from time to time. Updated Terms are effective when posted on the Site. Continued use constitutes acceptance of the updated Terms.

 

24. Severability; Waiver; Entire Agreement; Assignment

If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms and referenced policies constitute the entire agreement regarding Site use. You may not assign these Terms without our consent; we may assign to an affiliate or successor.

 

25. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Québec and applicable federal laws of Canada. Any dispute shall be brought before the courts located in Montréal, Québec, unless otherwise required by applicable law.
